1. About ZexusPro Limited

These Terms of Use & Marketplace Rules (“Terms”) apply to everyone who accesses or uses the ZexusPro website, application, or services (the “Platform”).

By creating an account, browsing, listing services, sending or accepting quotes, booking services, making payments, or otherwise using the Platform, you agree to these Terms. If you do not agree, do not use the Platform.

  • Comply with these Terms, all applicable laws, and any additional rules that apply to your role (for example, Pro rules)

We may request additional information where required for identity verification, fraud prevention, payment processing, safety, or legal compliance.

  • An online marketplace and discovery tools
  • Profile and listing infrastructure for Pros and other service providers
  • Search, messaging, quotation, booking, and milestone functionality
  • Payment processing through approved payment providers

  • Customer support, dispute management, reviews, ratings, and trust features

Unless expressly stated otherwise:

  • ZexusPro does not guarantee the qualifications, availability, quality, legality, safety, or outcome of any service or transaction
  • ZexusPro does not supervise every service performed
  • ZexusPro does not provide professional, legal, medical, financial, engineering, or other regulated advice

All Pros and service providers are independent and responsible for their own qualifications, licences, permits, insurance, employees, subcontractors, taxes, tools, materials, safety practices, and legal obligations.

4. Accounts & Verification

4.1 Account Requirements

To create an account, you must provide:

  • Full legal name (individual or business)
  • Valid email address and phone number
  • Accurate profile information
  • Any additional information required for your role (for example, Pro information)

You are responsible for all activity under your account and must notify us immediately of any unauthorized use or security breach.

4.2 Verification

ZexusPro may require or offer verification for Pros and service providers, Clients in higher-risk transactions, and corporate users and representatives.

Verification may include government-issued identification, business registration documents (for example, CAC documents), professional qualifications, licences or certifications, bank or payout details, and other KYC information requested by ZexusPro or its partners.

A verification badge or “verified” status means the information provided passed applicable checks at that time. It does not guarantee future conduct, financial capacity, service quality, or successful delivery or completion. Users must still conduct their own due diligence.

5. Service Listings

All listings must be accurate, complete, current, lawful, safe, and not misleading, and must comply with these Terms.

A listing should clearly state: the service offered; what is included and excluded; expected deliverables; price and any additional charges; timeline or availability; location or service area; cancellation and refund conditions; and any limitations, assumptions, dependencies, or risks.

Users must not list: illegal, harmful, deceptive, or prohibited services; services that infringe another person's rights; services requiring licences or qualifications the user does not hold; or anything that violates applicable law, these Terms, or our Community Standards.

ZexusPro may edit, restrict, reject, or remove any listing that violates these rules.

6. Quotes, Bookings & Contracts

A transaction may be created through a published service package, a custom quote, a Client request, a milestone agreement, or a booking accepted through the Platform.

Before payment, the parties should confirm: scope of work; deliverables; price and any additional charges; start and completion dates; revisions, inspections, or acceptance criteria; cancellation and refund terms; and any special conditions.

A booking becomes binding when the Client accepts the applicable terms and payment is confirmed, unless the transaction specifies otherwise.

A Pro must not accept a booking if they know or reasonably expect that the agreed work cannot be completed within the accepted scope and timeframe.

7. Payments & Conditional Payment Release

Payments must be made through payment methods provided or approved by ZexusPro.

Where available, ZexusPro uses an approved Payment Protection system. Funds are held in a Secured Settlement account and Conditional Payment Release occurs once applicable conditions are satisfied, including: completion of the agreed service; submission of agreed deliverables or completion of milestones; Client acceptance; expiry of the review period without a valid dispute; resolution of a dispute; or completion of verification or compliance checks.

ZexusPro does not independently promise to hold customer funds itself. Payment processing, settlement, release, refunds, chargebacks, and payout timing may be controlled or affected by the relevant payment provider, bank, card scheme, or financial institution.

Pros must not treat a pending transaction as paid or withdrawable until ZexusPro or the payment provider confirms the relevant amount has been released and is available for settlement.

Detailed payment-protection rules, including review periods and automatic payout timelines, are set out in the Payments, Refunds & Disputes policy.

8. Delivery, Acceptance & Completion

Pros must submit agreed deliverables through ZexusPro or another verifiable method agreed with the Client.

Clients should review deliverables within the review period stated in the booking or listing. Unless a different period is stated, concerns should be raised within the applicable review window.

A Client may accept the deliverable, request corrections covered by the agreed scope, ask for clarification, raise a specific dispute, or reject the deliverable where it materially fails to meet the agreed terms. A Client may not reject properly completed work merely because they changed their mind or developed a preference not included in the original agreement.

If the Client does not respond within the applicable review period, the transaction may be treated as accepted and payment released according to the Payments, Refunds & Disputes policy. Once that period expires without a valid dispute, the transaction may be marked as completed and closed.

9. Revisions, Add-Ons & Changes

A revision is a reasonable modification required to bring the deliverable into line with the accepted scope. The number of included revisions is set by the applicable package, listing, or quote.

A revision does not include a new project, a materially expanded scope, a change to the original instructions, additional work caused by information the Client failed to provide, a personal preference not in the original agreement, or work outside the selected package.

Pros may offer add-ons for additional services, materials, transport, rush delivery, extended support, extra revisions, or other agreed work. A Client must approve an add-on and its price before the Pro incurs the additional cost or begins the additional work. A Pro must not impose undisclosed charges after work has begun.

Where a Client changes the scope after work begins, the parties must agree through the Platform to a revised price, delivery date, milestones, expenses, or acceptance period. If they do not agree, the original scope and price continue to apply.

10. Cancellations & Refunds

A Client may request cancellation before work begins. The availability and amount of any refund may depend on the booking terms, whether the Pro has started work, work already completed, materials or expenses already approved, the reason for cancellation, applicable law, and payment-provider procedures.

A Client may be eligible for a full or partial refund where the Pro fails to begin the service, abandons the project, materially fails to deliver the accepted scope, the transaction is cancelled under its specific terms, or a refund is required by law.

A Pro may request cancellation where the Client provided materially inaccurate information, the requested work is unlawful or unsafe, the Client fails to provide essential access, information, or approvals, the scope materially changes without agreement, or the Client is abusive, threatening, discriminatory, or otherwise unsafe.

Refunds may be delayed by payment-provider procedures. Detailed refund rules are set out in the Payments, Refunds & Disputes policy.

11. Delays, No-Shows & Safety

A Pro must promptly notify the Client if a delay is likely. Where a Pro fails to start, disappears, or materially misses the deadline without a reasonable explanation, the Client may request a revised completion date, a replacement Pro where available, cancellation, a full or partial refund, dispute review, or another appropriate remedy.

Where a Client fails to attend an appointment, provide access, supply required information, or respond to reasonable requests, the Pro should document the issue through ZexusPro. This may justify an extension, cancellation, partial payment, or another remedy depending on the transaction terms.

For appointments or services at a Client's premises: the Client must provide a safe working environment; the Pro must comply with reasonable safety requirements; neither party should attend under the influence of alcohol or prohibited substances; a party may cancel or leave where there is a credible safety risk; and any incident should be reported to ZexusPro promptly. ZexusPro may restrict access where there are safety concerns.

12. Reviews & Ratings

Reviews must reflect a genuine transaction. Reviews must not contain false or misleading statements, threats, extortion, or harassment, hate speech, discrimination, or abusive content, unnecessary disclosure of personal information, unrelated advertising, content intended to manipulate ratings, or claims the reviewer cannot reasonably support.

ZexusPro may remove reviews that violate these Terms, our Community Standards, or applicable law.

13. Commissions, Fees & Payouts

Pros may pay commissions or fees on completed transactions. Unless otherwise stated, applicable commissions are deducted at source before the Pro receives settlement.

ZexusPro may change its pricing or commission structure by publishing updated pricing terms or providing notice where required. See the Pricing & Fees policy for current rates.

A Pro becomes eligible for payout only after the applicable payment has been released. Payout timing is subject to the payment provider's settlement timelines and may be affected by verification, fraud or compliance review, disputes, refunds, chargebacks, incorrect payout details, banking delays, payment-provider restrictions, or legal or regulatory requirements.

Where permitted by the applicable payment structure and law, ZexusPro may recover a refund, chargeback, reversal, or other amount from future settlements owed to a Pro. Where future settlements are insufficient, the Pro may be required to repay the amount.

14. Prohibited Conduct

Users must not: defraud, impersonate, threaten, harass, or exploit another user; circumvent ZexusPro's payment or commission processes; arrange off-Platform transactions with users introduced through ZexusPro to avoid fees or obligations; manipulate reviews, ratings, search results, or verification systems; use stolen payment details, identity documents, or account credentials; upload malware, harmful code, or illegal content; provide or request unlawful, unsafe, or deceptive services; facilitate money laundering, sanctions evasion, or other financial crime; falsely claim a transaction has been completed; attempt to trigger payment release dishonestly; create multiple accounts to avoid restrictions or bans; misuse another person's confidential information; or perform unsafe work without appropriate qualifications, licences, or protection.

15. Account Suspension & Termination

ZexusPro may suspend, restrict, or terminate an account where it reasonably suspects fraud or misrepresentation, payment or chargeback abuse, safety risks or serious misconduct, harassment, discrimination, or harmful behaviour, prohibited conduct or repeated breaches of these Terms, repeated cancellations, no-shows, or poor performance, circumvention of the Platform, or regulatory, legal, or payment-provider concerns.

Pending transactions may be paused while an investigation takes place. Termination does not remove obligations arising before termination, including payment obligations, confidentiality, and dispute responsibilities.

16. Disputes & Governing Law

Disputes between users should first be raised through the relevant transaction page and handled under the Payments, Refunds & Disputes policy. ZexusPro's internal dispute process does not prevent a party from using a court, regulator, mediator, arbitrator, or other lawful process.

These Terms are governed by the laws of the Federal Republic of Nigeria. Subject to any mandatory rights available under applicable law, disputes relating to these Terms or the Platform should first be addressed through ZexusPro's internal dispute and complaints process. Where court proceedings are necessary, the parties submit to the jurisdiction of the courts of Rivers State, Nigeria, or another competent court determined by applicable law.

17. Changes to These Terms

ZexusPro may update these Terms from time to time. Material changes will be communicated through the Platform, by email, or via a notice on the website before the changes take effect. Continued use of the Platform after changes are posted constitutes acceptance of the updated Terms.
