1. About ZexusPro

ZexusPro is a marketplace operated by Zexus Services Limited that connects clients with independent professionals and service providers.

The term "Pros" includes professionals offering intellectual, creative, technical, consulting, digital, business, and other knowledge-based services, as well as skilled service providers, artisans, technicians, handymen, and other service professionals.

These ZexusPro Marketplace Rules apply whenever a user creates an account, publishes a service, sends or accepts a quote, books a service, makes payment, communicates with another user, or uses any other ZexusPro feature.

These Rules form part of the ZexusPro Terms of Use and apply together with any transaction-specific terms displayed during booking or payment.

2. Who may use ZexusPro

Clients and Pros must provide accurate information and comply with applicable Nigerian law and any other law applicable to their transaction.

A user must:

  • Be legally capable of entering into a contract.
  • Provide accurate identity and contact information.
  • Keep account information current.
  • Use only their own account.
  • Keep login details confidential.
  • Cooperate with verification and safety checks.
  • Communicate honestly and respectfully.
  • Comply with these Rules and the ZexusPro Terms of Use.

We may request additional information where required for identity verification, fraud prevention, payment processing, safety, or legal compliance.

3. Our role

ZexusPro provides an online marketplace, discovery tool, communication system, booking system, and transaction-support infrastructure.

ZexusPro may provide:

  • Pro profiles and service listings.
  • Search and recommendation features.
  • Messaging and quotation tools.
  • Booking and milestone functionality.
  • Payment processing through approved payment providers.
  • Conditional payment-release features.
  • Customer support and dispute-management processes.
  • Reviews, ratings, identity checks, and trust features.

Unless expressly stated otherwise:

  • ZexusPro is not the employer of any Pro.
  • ZexusPro is not the agent, partner, or representative of any Pro.
  • ZexusPro does not directly provide the services listed by Pros.
  • Pros are independent service providers responsible for their own work.
  • ZexusPro does not guarantee the qualifications, availability, quality, legality, or outcome of any service.
  • ZexusPro does not supervise every service performed.
  • ZexusPro does not provide professional, legal, medical, financial, engineering, or other regulated advice.

Pros are responsible for their qualifications, licences, permits, insurance, employees, subcontractors, taxes, tools, materials, safety practices, and legal obligations.

4. Pro accounts and verification

To offer services on ZexusPro, a Pro may be required to provide:

  • Full legal name.
  • Contact information.
  • Government-issued identification.
  • Business registration details, where applicable.
  • Professional qualifications or certifications.
  • Bank and payout information.
  • Tax information.
  • Relevant licences, permits, or insurance details.
  • Information concerning employees or subcontractors.
  • Other KYC or KYB information reasonably requested by ZexusPro or its payment providers.

Verification means that the information provided has passed the applicable checks at the relevant time. Verification is not a guarantee of a Pro's quality, future conduct, financial position, qualifications, or ability to complete a project.

A Pro must immediately notify ZexusPro if any information becomes inaccurate or incomplete.

5. Client responsibilities

Clients must:

  • Describe their requirements accurately.
  • Provide complete instructions and relevant information.
  • Disclose facts that may affect the service.
  • Review a Pro's profile, qualifications, terms, package, price, and availability before booking.
  • Provide agreed access, materials, information, approvals, or instructions.
  • Pay through approved payment methods.
  • Communicate respectfully.
  • Review submitted work within the applicable acceptance period.
  • Raise concerns promptly and honestly.
  • Avoid requesting unlawful, unsafe, deceptive, or prohibited services.

A client must not ask a Pro to perform work that infringes another person's rights, violates applicable law, or creates an unreasonable risk of harm.

6. Service listings and packages

Each Pro must ensure that every service listing is accurate, complete, current, and understandable.

A listing should clearly state:

  • The service being offered.
  • What is included.
  • What is excluded.
  • The expected deliverables.
  • The estimated timeline.
  • The price.
  • The number of revisions.
  • Materials, information, or access required from the client.
  • Service location or service area.
  • Cancellation conditions.
  • Any limitations, assumptions, dependencies, or risks.
  • Any additional charges or optional add-ons.

Pros may offer different packages, including Basic, Standard, Premium, or other package levels.

Each package must accurately describe its features, deliverables, timeframe, price, and revision allowance. For example, a Pro may offer one revision under a Basic package, two or three revisions under a Standard package, and unlimited revisions under a Premium package, provided the terms are clearly stated.

A Pro must not:

  • Claim qualifications or experience they do not possess.
  • Use misleading photographs, testimonials, or results.
  • Copy another person's listing, images, branding, or content without permission.
  • Publish fake or manipulated reviews.
  • Advertise services they cannot reasonably deliver.
  • Add undisclosed charges.
  • List illegal, harmful, deceptive, or prohibited services.
  • Use ZexusPro to avoid applicable taxes, licences, or professional obligations.

ZexusPro may edit, restrict, reject, or remove any listing that is inaccurate, unsafe, unlawful, misleading, duplicated, or inconsistent with our standards.

7. Quotes, bookings, and contracts

A transaction may be created through:

  • A published service package.
  • A custom quote.
  • A client request.
  • A milestone agreement.
  • A booking or offer accepted through the platform.

Before payment, the client and Pro should confirm:

  • Scope of work.
  • Deliverables.
  • Price.
  • Applicable commission or charges.
  • Start and completion dates.
  • Number of revisions.
  • Materials and expenses.
  • Milestones.
  • Acceptance criteria.
  • Review period.
  • Cancellation and refund terms.
  • Any special conditions.

A booking becomes binding when the client accepts the applicable terms and payment is confirmed, unless the transaction specifies otherwise.

A Pro must not accept a booking if the Pro knows or reasonably expects that the agreed work cannot be completed within the accepted scope and timeframe.

8. Payments and conditional release

Payments must be made through the payment methods provided or approved by ZexusPro.

Where available, ZexusPro may use an approved payment-provider structure under which payment is processed and released after the applicable transaction conditions are satisfied.

The applicable conditions may include:

  • Completion of the agreed service.
  • Submission of the agreed deliverable.
  • Client acceptance.
  • Completion of a milestone.
  • Expiry of the client's review period without a valid dispute.
  • Resolution of a dispute.
  • Completion of a verification or compliance check.

ZexusPro does not independently operate a customer wallet or promise that it will hold customer funds itself. Payment processing, settlement, release, refunds, chargebacks, and payout timing may be controlled or affected by the relevant payment provider, bank, card scheme, or financial institution.

The payment provider's applicable terms and settlement procedures may affect when funds become available to a Pro.

Pros must not treat a pending transaction as paid or withdrawable until ZexusPro or the payment provider confirms that the relevant amount has been released and is available for settlement.

9. Delivery and acceptance

A Pro must submit the agreed deliverable through ZexusPro or another verifiable method agreed with the client.

The client should review the deliverable within the review period stated in the booking. Unless a different period is stated, the client should raise any concern within 24 to 48 hours after submission.

A client may:

  • Accept the deliverable.
  • Request corrections covered by the agreed scope.
  • Ask for clarification.
  • Raise a specific dispute.
  • Reject the deliverable where it materially fails to meet the accepted agreement.

A client may not reject properly completed work merely because the client changed their mind or developed a preference that was not included in the original agreement.

If the client does not respond, the transaction may be treated as accepted and payment may be released no later than seven days after submission or completion, subject to:

  • A dispute raised before release.
  • Fraud or suspected fraud.
  • A payment reversal or chargeback.
  • A technical or payment-provider issue.
  • A legal or regulatory requirement.
  • A hidden material issue that could not reasonably have been identified during the review period.

Once the applicable period expires without a valid dispute, the transaction may be marked as completed and closed.

10. Revisions and add-ons

A revision is a reasonable modification required to bring the deliverable into line with the accepted scope.

The number of included revisions is determined by the applicable Pro package or quote.

A revision does not include:

  • A new project.
  • A materially expanded scope.
  • A change to the client's original instructions.
  • Additional work caused by information the client failed to provide.
  • A personal preference not included in the original agreement.
  • Work outside the selected package.

Pros may offer add-ons for additional services, materials, transport, rush delivery, extended support, extra revisions, or other agreed work.

A client must approve an add-on and its price before the Pro incurs the additional cost or begins the additional work.

A Pro must not impose undisclosed charges after work has begun.

Where a client changes the scope after work begins, the parties must agree through the platform to:

  • A revised price.
  • A revised delivery date.
  • Additional milestones.
  • Additional materials or expenses.
  • A revised acceptance period.

If the parties do not agree, the original scope and price will continue to apply.

11. Milestone projects

ZexusPro may support both fully funded projects and milestone-based projects.

Each milestone should state:

  • The work covered.
  • The deliverable.
  • The amount allocated.
  • The expected completion date.
  • The acceptance criteria.
  • The client review period.
  • The release condition.

A completed milestone may be released separately from later milestones.

A dispute relating to one milestone does not automatically cancel work properly completed under another milestone.

A Pro must not mark a milestone complete unless the agreed work has been delivered or is ready for client review.

12. Cancellations and refunds

A client may request cancellation before work begins. The availability and amount of any refund may depend on:

  • The booking terms.
  • Whether the Pro has started work.
  • Work already completed.
  • Materials or expenses already approved.
  • The reason for cancellation.
  • Applicable law.
  • Payment-provider procedures.

A client may be eligible for a full or partial refund where:

  • The Pro fails to begin the service.
  • The Pro abandons the project.
  • The Pro materially fails to deliver the accepted scope.
  • The Pro cannot perform the agreed service.
  • The transaction is cancelled under its specific terms.
  • A refund is required by law.

A Pro may request cancellation where:

  • The client provided materially inaccurate information.
  • The requested work is unlawful or unsafe.
  • The client fails to provide essential access, information, materials, or approvals.
  • The scope materially changes without agreement.
  • The client is abusive, threatening, discriminatory, or otherwise unsafe.

Refunds may be delayed by payment-provider procedures.

13. Delays and no-shows

A Pro must promptly notify the client if a delay is likely.

Where a Pro fails to start, disappears, or materially misses the deadline without a reasonable explanation, the client may request:

  • A revised completion date.
  • A replacement Pro, where available.
  • Cancellation.
  • A full or partial refund.
  • Dispute review.
  • Another remedy appropriate to the circumstances.

Where a client fails to attend an appointment, provide access, supply required information, or respond to reasonable requests, the Pro should document the issue through ZexusPro.

A client's failure to cooperate may justify an extension, cancellation, partial payment, or another remedy depending on the transaction terms.

For appointments at a client's home, office, or other premises:

  • The client must provide a safe working environment.
  • The Pro must comply with reasonable safety requirements.
  • Neither party should attend while under the influence of alcohol or prohibited substances.
  • A party may cancel or leave where there is a credible safety risk.
  • Any incident should be reported to ZexusPro promptly.
  • ZexusPro may restrict access where there are safety concerns.

14. Disputes

A dispute should be raised through the relevant transaction page as soon as possible and before the applicable payment-release deadline.

The party raising the dispute should provide:

  • A description of the problem.
  • The relevant part of the agreement.
  • Messages, files, photographs, or other evidence.
  • The remedy requested.

The parties should first attempt to resolve the matter directly through ZexusPro.

If the matter remains unresolved, ZexusPro may review it using:

  • The accepted listing or quote.
  • Platform messages.
  • Payment and booking records.
  • Submitted deliverables.
  • Timestamps and status changes.
  • Evidence supplied by each party.
  • Independent technical or professional information, where appropriate.

Each party should respond to a dispute request within 48 hours unless ZexusPro allows additional time.

A dispute raised before release may pause payment. ZexusPro may also pause payment where it reasonably suspects fraud, unlawful activity, payment abuse, or another material risk.

Depending on the circumstances, ZexusPro may provide:

  • Full refund.
  • Partial refund.
  • Re-performance.
  • Correction.
  • Replacement Pro.
  • Partial release.
  • Full release.
  • Cancellation.
  • Account restriction.
  • Another reasonable remedy.

ZexusPro's internal dispute process does not prevent a party from using a court, regulator, mediator, arbitrator, or other lawful process.

15. Reviews and ratings

Reviews must reflect a genuine transaction or interaction.

Reviews must not contain:

  • False or misleading statements.
  • Threats or extortion.
  • Hate speech or discriminatory content.
  • Unnecessary disclosure of personal information.
  • Advertising unrelated to the transaction.
  • Content intended to manipulate ratings.
  • Claims that the reviewer cannot reasonably support.

ZexusPro may remove reviews that violate these Rules or applicable law.

16. Pro commissions and payouts

Pros pay the commission applicable to the relevant service, package, booking, or transaction.

Unless otherwise stated, the applicable commission is deducted at source before the Pro receives settlement.

ZexusPro may change its pricing or commission structure by publishing updated pricing terms or providing notice where required.

A Pro becomes eligible for payout only after the applicable payment has been released.

Payout timing is subject to the payment provider's settlement timelines and may be affected by:

  • Verification.
  • Fraud or compliance review.
  • Disputes.
  • Refunds.
  • Chargebacks.
  • Incorrect payout details.
  • Banking delays.
  • Payment-provider restrictions.
  • Legal or regulatory requirements.

ZexusPro may, where permitted by the applicable payment structure and law, recover a refund, chargeback, reversal, or other amount from future settlements owed to a Pro. Where future settlements are insufficient, the Pro may be required to repay the amount.

17. Prohibited conduct

Users must not:

  • Defraud, impersonate, threaten, harass, or exploit another user.
  • Circumvent ZexusPro's payment or commission processes.
  • Arrange off-platform transactions with users introduced through ZexusPro.
  • Manipulate reviews, ratings, or search results.
  • Use stolen payment details, identity documents, or account credentials.
  • Upload malware or harmful content.
  • Provide or request unlawful services.
  • Facilitate money laundering or sanctions evasion.
  • Falsely claim that work has been completed.
  • Attempt to trigger payment release dishonestly.
  • Create multiple accounts to avoid restrictions.
  • Misuse another person's confidential information.
  • Perform unsafe work without appropriate qualifications or protection.

18. Account suspension and termination

ZexusPro may suspend, restrict, or terminate an account where it reasonably suspects:

  • Fraud.
  • Misrepresentation.
  • Payment abuse.
  • Safety risks.
  • Harassment or discrimination.
  • Prohibited conduct.
  • Repeated cancellations or no-shows.
  • Circumvention of the platform.
  • Breach of these Rules or the Terms of Use.
  • Regulatory, legal, or payment-provider concerns.

Pending transactions may be paused while an investigation takes place.

Termination does not remove obligations arising before termination.

19. Governing law

These Rules are governed by the laws of the Federal Republic of Nigeria.

Subject to any mandatory rights available under applicable law, disputes should first be addressed through ZexusPro's internal dispute process. Where court proceedings are necessary, the parties submit to the jurisdiction of the courts of Rivers State, Nigeria, or another competent court determined by applicable law.
