This Commission and Pricing Schedule explains the fees and charges that may apply to users of Zexus services, including ZexusPro and ZexusAuto.

This Schedule forms part of the Zexus Master Terms of Service and User Agreement, the ZexusPro Marketplace Rules, the ZexusAuto Marketplace Rules, and any transaction-specific terms displayed before confirmation.

1. General pricing principles

Before a user confirms a transaction, Zexus will display or make available the applicable:

  • Price.
  • Commission.
  • Service fee.
  • Inspection fee.
  • Delivery or logistics fee.
  • Payment-related fee, where applicable.
  • Tax or government charge.
  • Deposit and balance.
  • Refund or cancellation charge, where applicable.

A user is responsible for reviewing the applicable charges before confirming a transaction.

The charges applicable to a transaction will generally be the charges displayed or accepted at the time the transaction is confirmed.

2. Client and buyer fees

During the introductory phase:

  • Clients may use ZexusPro without a marketplace fee.
  • Buyers may use ZexusAuto without a marketplace fee.

This introductory pricing does not necessarily mean that clients or buyers will never pay fees.

Zexus may later introduce:

  • Client service fees.
  • Buyer service fees.
  • Transaction fees.
  • Payment-method charges.
  • Inspection fees.
  • Verification fees.
  • Delivery or logistics charges.
  • Convenience fees.
  • Subscription fees.
  • Other charges associated with optional features.

Where applicable, charges will be displayed before the relevant transaction is confirmed.

3. ZexusPro Pro commissions

Pros may pay a commission on completed ZexusPro transactions.

The commission may be calculated as:

  • A percentage of the service price.
  • A fixed amount.
  • A category-specific amount.
  • A package-specific amount.
  • A subscription or membership fee.
  • Another structure displayed in the applicable pricing information.

Current commission

ZexusPro commission: To be published by service category

The applicable commission may vary depending on:

  • Service category.
  • Pro package.
  • Transaction value.
  • Promotional campaign.
  • Pro membership or subscription.
  • Payment method.
  • Commercial agreement.
  • Refund or cancellation outcome.

Unless otherwise stated, Zexus may deduct its commission at source before the Pro receives settlement.

Example

If:

  • Service price: ₦100,000.
  • ZexusPro commission: 10%.
  • Commission: ₦10,000.

The Pro's gross settlement before any refund, chargeback, tax, payment-provider deduction, or other applicable adjustment would be ₦90,000.

The actual amount received may differ where the payment provider, bank, refund, chargeback, tax, or transaction terms apply an additional adjustment.

4. ZexusAuto Dealer commissions

Dealers may pay a commission on completed ZexusAuto transactions.

The commission may be calculated as:

  • A percentage of the asset price.
  • A fixed amount.
  • An asset-category-specific amount.
  • A transaction-value-specific amount.
  • A listing or subscription charge.
  • Another structure displayed in the applicable pricing information.

The applicable commission may vary depending on:

  • Vehicle category.
  • Asset type.
  • Transaction value.
  • Dealer status.
  • Promotional campaign.
  • Listing or subscription arrangement.
  • Payment method.
  • Commercial agreement.
  • Refund or cancellation outcome.

Unless otherwise stated, Zexus may deduct its commission at source before the Dealer receives settlement.

Example

If:

  • Asset price: ₦10,000,000.
  • ZexusAuto commission: 2%.
  • Commission: ₦200,000.

The Dealer's gross settlement before any refund, chargeback, tax, payment-provider deduction, or other applicable adjustment would be ₦9,800,000.

The actual amount received may differ where additional transaction adjustments apply.

5. Listing and subscription fees

Zexus may introduce optional charges for:

  • Featured listings.
  • Promoted listings.
  • Priority placement.
  • Dealer subscriptions.
  • Pro subscriptions.
  • Verification upgrades.
  • Premium profile features.
  • Additional listing capacity.
  • Analytics or reporting features.
  • Corporate or enterprise access.

An optional feature will not be charged unless the user selects, accepts, or activates it.

6. Inspection and verification fees

The following may attract separate charges:

  • Zexus Certified Inspector services.
  • Independent inspection coordination.
  • Inspection reports.
  • Report release or access.
  • Additional inspections.
  • Document verification.
  • Title or ownership checks.
  • Asset verification.
  • Additional business or identity checks.

Unless a transaction states otherwise:

  • The buyer pays for requested asset inspection.
  • The client or buyer pays for optional verification or inspection services.
  • A Dealer or Pro may pay fees required for onboarding or enhanced verification.

Inspection and verification fees may not be refundable where the service has already been provided.

The applicable fee will be displayed or communicated before the service is requested.

7. Delivery and logistics charges

Delivery, transport, loading, unloading, storage, insurance, customs, registration, and related charges may be paid by the buyer, client, Pro, Dealer, or another party depending on the transaction terms.

Where Zexus coordinates or facilitates delivery, Zexus may charge:

  • Delivery coordination fee.
  • Logistics fee.
  • Delivery-provider fee.
  • Insurance or protection charge.
  • Storage or waiting charge.
  • Cancellation or rescheduling charge.

The party responsible for the charge should be identified before the service or delivery is confirmed.

8. Payment-provider and banking charges

Payment providers, banks, card schemes, transfer providers, escrow providers, or other financial institutions may charge fees.

Those fees may include:

  • Payment-processing fees.
  • Transfer fees.
  • Settlement fees.
  • Refund fees.
  • Currency-conversion charges.
  • Chargeback fees.
  • Failed-payment charges.
  • Bank charges.
  • Cross-border fees.

Where a payment-provider charge is passed to a user, it should be disclosed before confirmation.

Zexus may not control the amount or timing of fees charged directly by a third-party payment or financial-services provider.

9. Taxes

Prices and commissions may be subject to:

  • Value Added Tax.
  • Withholding tax.
  • Stamp duties.
  • Customs duties.
  • Import charges.
  • Registration fees.
  • Other government charges.

Users are responsible for taxes and charges applicable to their business, service, asset, transaction, income, location, or legal status unless Zexus expressly states otherwise.

Zexus may deduct or collect taxes where required by law or a payment-provider arrangement.

10. Deposits and balances

For ZexusAuto transactions, the anticipated structure is:

  • 10% deposit before inspection or further transaction processing.
  • 90% balance after the buyer is satisfied with the inspection and applicable transaction conditions.

The exact deposit may differ according to:

  • Asset type.
  • Dealer.
  • Transaction value.
  • Inspection requirement.
  • Delivery arrangement.
  • Payment-provider rules.
  • Transaction-specific terms.

A deposit may be refundable where the applicable transaction terms or ZexusAuto Marketplace Rules provide for a refund.

11. Refunds and adjusted commissions

Where a transaction is fully or partially refunded:

  • Zexus may refund or adjust the applicable commission where appropriate.
  • Payment-provider charges may not always be refundable.
  • Inspection, delivery, verification, or other completed-service charges may be retained where permitted.
  • A Pro or Dealer may receive a reduced settlement.
  • Zexus may recover an amount already paid where a chargeback or reversal occurs.

The treatment of a commission after cancellation or refund may depend on:

  • Whether work was completed.
  • Whether an asset was delivered.
  • Whether the refund resulted from user misconduct.
  • Whether the transaction was fraudulent.
  • Whether the payment provider has settled funds.
  • The applicable transaction terms.

12. Chargebacks and reversals

Where a chargeback, payment reversal, failed payment, or duplicate payment occurs, Zexus may:

  • Pause the transaction.
  • Reverse or adjust a commission.
  • Recover amounts from future settlements.
  • Require direct repayment.
  • Restrict account activity.
  • Suspend payout access.
  • Apply provider charges where permitted.

Users must cooperate with chargeback and payment investigations.

13. Commission-free promotions

Zexus may offer:

  • Reduced commission.
  • Commission-free transactions.
  • Discounted listings.
  • Free verification.
  • Introductory pricing.
  • Promotional credits.
  • Waived subscription fees.

Promotions may:

  • Apply only to certain users or categories.
  • Have a minimum or maximum transaction value.
  • Have an expiry date.
  • Exclude refunds, chargebacks, or other charges.
  • Not be combined with other offers.
  • Be withdrawn where abuse is suspected.

Promotional terms will apply to the relevant transaction.

14. Changes to pricing

Zexus may change:

  • Commissions.
  • Listing fees.
  • Subscription fees.
  • Inspection fees.
  • Service fees.
  • Buyer or client fees.
  • Promotional terms.
  • Payment or payout charges passed through to users.

Changes will generally apply to future transactions and services.

A change will not alter a transaction already confirmed unless:

  • The user agrees.
  • The transaction is amended.
  • The change is required by law.
  • The applicable provider's rules require it.

Zexus may provide notice of material changes through the platform, email, account notification, or publication of an updated Schedule.

15. Invoicing and records

Zexus may provide or make available:

  • Receipts.
  • Invoices.
  • Commission statements.
  • Settlement statements.
  • Payment references.
  • Refund records.
  • Transaction reports.
  • Tax documents where applicable.

Users are responsible for maintaining appropriate financial and tax records for their own business and transactions.

16. Enterprise and negotiated pricing

Zexus may agree different pricing with:

  • Corporate clients.
  • Large Dealers.
  • Enterprise customers.
  • Strategic partners.
  • Government or institutional customers.
  • High-volume Pros.
  • Payment, inspection, or logistics partners.

A negotiated commercial agreement may override this Schedule for the relevant customer or transaction.
